Management buyout to separate research department of ASTEC Global

Maarssen, The Netherlands
September 22, 2009

ASTEC shareholders through their holding company (Callas International BV) have signed a principal agreement today to separate their R&T department (ADP International BV) from the current ASTEC Global group of companies. The department is taken over by the R&T manager, Johan Van Asbrouck. Johan will continue the ADP Research company as a vehicle to service customers worldwide with innovative products and projects. This month the company completed successfully the new drying method for seed and seed related products under the commercial name MobiDry. With MobiDry seed drying will be faster, easier, more precise and more flexible then with current drying methods in the market. Soon OptiPel will follow as a method to upgrade cabbage seed. Other inventions like MLM (Multi-Level markers) and ROC (Release on Command) are still in project phase, like many other seed related inventions from ADP. ADP will have its main office in the Netherlands and will work closely with Rhino Research; the Thailand based Innovation Company also owned by Johan van Asbrouck.

ASTEC Global, after a successful completion of the intended MBO, will focus on its core competency: Pelleting, Coating, priming and sales of polymers for seed and seed coating companies next to quality control systems like the Metabolism Measurement on seeds by the Q2. The custom coating and priming activity in Sheridan-USA (Sugar Beets), Oudshoorn-Africa (All crops) and Zhejiang, Shanghai, Chengdu-China (All crops) will be streamlined and adapted to current market needs. Sugar beet priming will be offered also for in house application to qualifying seed companies based on the Primo processes developed by Seed Support and Coating Supply. ASTEC will be involved to work with several seed companies and universities to sponsor the Q2 benchmarking as a business project from UC Davis from October onward. We are convinced that the split of activities will contribute to better serve our customers in both areas with the best possible solutions to their business needs. Frederick Schreurs is responsible for Africa and China as Director. The technical support to clients in India and other Asian countries will continue by Frederick Schreurs Director New Business WW of ASTEC Global. Antoon Santegoeds, current Sales & Marketing Director Europe, has decided to leave ASTEC per 1 October as the new focus of our company is no longer in line with his personal objectives.
